Job Summary:Responsible for a wide range of corporate and commercial matterswithin the organization, including but not limited to, drafting,reviewing, negotiating and advising on various contracts andrelated documentation and providing corporate and commercialadvisory services.
Essential Duties andResponsibilities
1. Preparing, drafting, reviewing andnegotiating legal contracts, agreements or any other kind ofrelated legal documentation against the organization’slegal and business interests, policies and procedures from a legaland commercial perspective.
2. Interfacing with internal departments andexternal parties such as external counsel, supplier/vendor and/orother third-party legal departments and other stakeholders inrespect of contractual documentation or other corporate/commercialmatters.
3. Leading theon-going development of standard form documentation to ensureaccuracy, consistency, compliance with legal requirements andeffective management of legal risk;
4. Maintaining a repository of standard formdocument templates for easy reference with version control andproper tracking of dates of circulation and use;
5. Collaborating with Remedial Litigation Unitand other members of the Legal Department to assess case precedentsand external counsel recommendations to implement necessaryamendments to legal documentation to prevent adverse litigationoutcomes.
6. Providing legaladvice, transaction and due diligence support and in particular, tonegotiate, manage and report on the legal aspects of a range ofcorporate, investment, joint venture, M&Atransactions;
7. Advising onintra-group transactions and drafting and reviewing intercompanyservice level agreements;
8.Assisting Head of Legal in preparation of reports and presentationsto Executive Management, Management Committees and the Board ofDirectors, when required;
9.Assisting Head of Legal in managing external counsel, keystakeholders and other third parties to ensure quality ofperformance and minimize costs, in addition to managing externallegal advice to ensure that sound and commercially useful advice isprovided to internal stakeholders;
10. Assisting Head of Legal in developing,reviewing and implementing procedures and policies to ensure theorganization’s compliance with applicablelaws;
11. Assisting Head ofLegal in investigating and responding to specific customercomplaints which require legal opinion after referral from Head ofRemedial;
12. Assisting Headof Legal in Department automation, digitalization andimplementation of legal matter managementsoftware;
13. Assisting Headof Legal to identify and report any matters which are of strategic,reputational or material financial value to ExecutiveManagement;
14. AssistingHead of Legal in ensuring there is appropriate horizon scanning oflegal and regulatory developments and ensuring that the relevantinternal stakeholders are advised in a timely and appropriatemanner;
15. Acting as one ofthe Department Risk Champions and complying with the applicableKPIs for such role;
16.Assisting Head of Legal in setting KPIs for external counsels inrespect of corporate and commercial services under theresponsibilities listed herein;
17. Ensuring compliance with relevant laws,regulations, and industry standards;
18. Collaborating with cross-functional teamscomprised of all or some of the internal departments to supportbusiness objectives;
19.Assisting in conducting legal research to ensure theCompany’s operations are up to date with the latest legalchanges;
20. Working withother members of the Legal Department team and other internaldepartments to ensure that there is a coherent and seamlessdelivery of legal services; and
21. Maintaining up to date and accurate recordsrelating to all matters listed above.
